Delaware Supreme Court Issues Landmark Directors & Officers Insurance Decision – Pamela Woods, Christopher Pasich and Kirk Pasich Author Analysis for Westlaw Today

The Delaware Supreme Court’s decision in RSUI Indemnity Co. v. Murdock addressed several issues of first impression and confirmed that Delaware corporations and their directors and officers are entitled to broad protection under D&O insurance policies. In an article for Westlaw Today, Partner Pamela Woods, Senior Managing Associate Christopher Pasich and Managing Partner Kirk Pasich provide an analysis of the ruling’s significance.

According to the attorneys, many corporations’ D&O insurance programs provide tens or hundreds of millions of dollars in potential coverage. In rejecting several key arguments that insurers often make in trying to limit what they pay, this decision will help ensure that Delaware corporations receive the benefits of the insurance coverage they bargained for, and will help not only directors and officers of those corporations, but also those allegedly injured by their actions. This ruling will impact both how insurers and insureds handle disputes under existing policies and how insurers seek to revise their D&O policies for future years.
